1. Effective Dates
This NDA shall take effect on [Date] ("the Effective Date") at [Time], as set forth in the governing law applicable hereto.
Parties Involve
This agreement is between [Employee Name], an employee of [Company Name], acting on behalf of the company, and [Employer Name].
Purpose/ scope
This Non-Consclosure Agreement ("this NDA") is intended to establish a framework for the protection of sensitive and confidential information exchanged during employment relationships. The parties agree that the information shared may only be used for the purposes of the agreement, shall remain confidential, and shall not be disclosed to third parties without prior written consent.
5. Definition of Term
The following terms shall have the meanings set forth below:
- Confidentual Information: Any information, whether oral or written, that is shared between the parties in confidence and is not publicly available or generally known outside the scope of the relationship described herein.
- Other terms defined here shall apply unless otherwise stated.
6. Confidence Right and Obbligation
6.1 Obligation of the Employee
During the term of this NDA, the [Employee] agrees to maintain the confidence and confidentiality of all [Confident Information] disclosed to him/her by the [Employment]. This includes any information that has been developed jointly or collaboratively by the two parties. The [Employee shall] take all reasonable steps to protect such information from unauthorized use, including but not limited to physical security measures, network security protocols, and access controls.
6,2 Obligation of the Employer
The [Employement] agrees that, during the term, the information provided by the employee to him shall remain his confidential property. The employer agrees to take all necessary actions to protect the [Conficient Information], including butnot limited to implementing appropriate security measures.
7. Exclusivity
Unless the [employe] explicitly states that he/ she wishes to limit the scope o the Nda, the confidentiality obligations of this agreement shall apply to all [ConfindentialInformation] disclosed by the employe during the course of employment and any extensions thereof. The information may not be used by the employer for any purpose other than those outlined in this Nda.
8. Breaches of Contract Liabiltiy
Either party may bring an action for breach of this contract upon written notice of alleged breach. Such breach shall entitle the breaching party to seek damages equal to the value of the [specific item(s)] disclosed and lost due to the breach, plus actual out-of-pocket costs and expenses reasonably incurred in response to the violation. P enalties for such breach may be imposed by the court in addition to these damages, and such penalties shall be at the discretion of the court.

9. Termination
Either Party may terminate this NDa at any time with mutual notice; however, the termination clause shall not release the other party from its existing obligations under this N Da until the [date] for which prior written notice was given.

10 Dispute resoluion Methods
Any dispute arising out of or relating to this N DA shall be resolved by mediation conducted by a neutral and independent mediator. If mediation is not resolved satisfactorily within ten (10) days after the initial meeting, then the matter shall be submitted to arbitration in accordance with the rules of the American Dispute Resolve Ion Corporation ("ADR IC"), located in [City, State], and governed by United States law. The losing party shall pay the fees and costs of the arbitration process.
